Corporations, LLCs & Other Business Organizations
The form of business chosen for a business entity may potentially affect every aspect of its operations. Our firm has the experience to help you decide whether you should operate as a closely held business, limited liability company (LLC), partnership, or corporation. We will advise you about things such as directors’ and officers’ liability, buy-sell agreements, dissolution, reorganization, joint ventures, mergers, acquisitions, business succession, and shareholders’ rights.
We provide legal counseling and expertise in a wide variety of business contexts, from the start up through dissolution. We can assist in contract negotiations, preparation and review, franchising, facilities acquisition (lease or purchase), employment issues, Uniform Commercial Code and general business matters.
Incorporate Your Business
We can incorporate your company in Nebraska or in any of the 50 states. We can also organize limited liability companies (LLCs) and partnerships, both general and limited. In addition, we can act as your resident agent in Nebraska. Our annual fee for local representation is only $75 per year–much less than you would pay others. We can also arrange for your registered office in certain other jurisdictions.
Our standard fee for a Nebraska business incorporation is $599. A Nebraska LLC is also $599. Our fee includes preparation and filing of standard organizational papers, all filing fees, publication costs and other expenses in Nebraska and most other states* where we incorporate. There are no other fees if you have a local place of business in the state of incorporation at which the registered office can be located.
Visit our Online Forms page where you will can access various business and corporate forms.
Why Not Do It Yourself?
Online do-it-yourself legal services have become increasingly popular recently as people have looked for ways to save money. And certainly they do provide the forms needed.
What they don’t provide is knowledge, expertise, assistance, guidance and care.
The problem is that you don’t know what you don’t know, and you won’t know if you have missed something important until it’s too late. We have seen many instances in which a critical step in the incorporation process was missed by a person who was following advise by a particular on line incorporation service. Until we were called in, the company had not been legally formed despite the owner filing forms with the state.
Websites can’t give you personal attention. At Whitmore Law Office, if you have a question, a friendly answer is a phone call away.
And the best part is, since the state fees and publication costs are included, our price is very competitive with the do-it-yourself guys, and you don’t have to do it yourself!
